5. Advertising and Campaign Inquiries

Submission of an inquiry does not guarantee acceptance, placement, scheduling, campaign approval, inventory availability, or service availability. All advertising, creative, placements, campaign timing, campaign duration, and related services are subject to our review, approval, availability, technical compatibility, and any separate written agreement or invoice terms.

We reserve the right, in our sole discretion, to reject, remove, pause, or decline any advertising content or campaign for any reason, including content that we believe is unlawful, misleading, offensive, infringing, technically unsuitable, or inconsistent with our brand standards.

6. Creative Materials Submitted by You

If you send us any creative materials, artwork, videos, logos, brand assets, text, slogans, marketing materials, or other content (“Submitted Content”), you represent and warrant that:

  • you own or control all necessary rights to that Submitted Content;
  • the Submitted Content does not infringe any third-party intellectual property, privacy, publicity, contractual, or other rights;
  • the Submitted Content complies with applicable law;
  • the Submitted Content is accurate and not false, deceptive, or misleading.

By submitting content to us for review, production, display, or campaign execution, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, display, store, format, transmit, adapt as reasonably necessary for technical delivery, and otherwise process that content solely for the purpose of reviewing, preparing, displaying, and administering your requested campaign or service.

You remain responsible for all Submitted Content you provide.

7. No Guarantee of Results

We do not guarantee any specific results from using our Site, submitting an inquiry, purchasing a product, running an advertising campaign, or otherwise interacting with LA SCENTS.

Without limitation, we do not guarantee:

  • uninterrupted availability of any placement, screen, machine, feature, or service;

Any impression estimates, timing references, campaign discussions, or performance-related statements are informational only unless expressly guaranteed in a separate written agreement.

8. Purchases and Payments

If the Site now or later allows you to purchase products, advertising, placements, or other services, all purchases are subject to our acceptance and any additional terms presented at checkout, by invoice, by payment link, or in a separate written agreement.

You agree to provide current, complete, and accurate billing and payment information for all transactions.

We reserve the right to:

  • correct pricing, descriptions, or typographical errors;
  • limit quantities;
  • change pricing at any time before acceptance of payment or execution of a separate agreement.

Unless otherwise stated in writing, all fees paid are non-refundable.

14. Perfume Spray Product Terms

LA SCENTS offers fragrance products through automated vending equipment and related dispensing systems. By purchasing, dispensing, receiving, applying, or otherwise using any fragrance product provided by LA SCENTS, you acknowledge and agree to the following:

14.1 Nature of the Products

Products dispensed by LA SCENTS are fragranced products intended for external personal fragrance use only. These products are not food, not beverages, not for ingestion, and not medical products.

14.2 Allergen and Sensitivity Warning

Fragrances may contain alcohol, fragrance compounds, essential oils, aroma chemicals, botanical ingredients, preservatives, solvents, and other ingredients that may cause irritation or allergic reaction in some individuals. Certain users may experience sensitivity even from small amounts or airborne exposure.

LA SCENTS has provided warnings on its vending machines and/or related materials that fragrances may contain allergens. By using the machine or product, you acknowledge that such warning has been provided.

14.3 User Assumes the Risk

You voluntarily assume all risk associated with selecting, purchasing, dispensing, handling, and using any fragrance product from LA SCENTS. You are solely responsible for deciding whether the product is appropriate for you.

Do not use any product if you:

  • have known fragrance, perfume, alcohol, or cosmetic allergies;
  • have sensitive skin;
  • are prone to asthma or scent-triggered respiratory symptoms;
  • are concerned about ingredient sensitivity;
  • are purchasing for a person whose sensitivities you do not know.

14.4 Proper Use

Users should use products carefully and only as intended. Avoid spraying near or into:

  • eyes;
  • face;
  • mouth;
  • broken skin;
  • irritated skin;
  • mucous membranes;
  • or enclosed areas where scent concentration may cause discomfort.

Do not ingest the product. Keep away from children except under direct adult supervision, if applicable.

14.5 Possible Adverse Effects

Potential adverse effects may include, without limitation:

  • skin irritation or rash;
  • redness or burning sensation;
  • allergic reaction;
  • respiratory irritation;
  • nausea, dizziness, or headache;
  • discomfort caused by scent sensitivity;
  • staining or damage to fabric, leather, plastic, jewelry, finishes, or other materials.

LA SCENTS does not guarantee that any product will be free from allergens, irritants, or reactions for any user.

14.6 No Medical Representation

LA SCENTS makes no medical, dermatological, or health-related representation regarding suitability of any product for any particular person. No statement on the machine, Site, or elsewhere should be understood as medical advice.

If any adverse reaction occurs, discontinue use immediately and seek medical attention where appropriate.

14.7 Insurance Coverage

LA SCENTS maintains product liability insurance coverage. However, the existence of insurance coverage does not create any additional warranty, representation, contractual obligation, admission of liability, or right of recovery beyond what is otherwise required under applicable law and these Terms.

14.8 Limitation of Responsibility for Product Use

To the fullest extent permitted by applicable law, you release and agree not to hold LA SCENTS, its owners, operators, affiliates, employees, contractors, suppliers, licensors, venues, landlords, and service providers liable for any claim, injury, allergic reaction, sensitivity, irritation, respiratory event, property damage, staining, incidental damage, or other loss arising out of or related to use, misuse, third-party use, indirect exposure, over-application, or inability to use any fragrance product dispensed through LA SCENTS equipment, except where such liability cannot legally be waived or limited.

14.9 Responsibility for Third-Party Use

If you obtain or dispense a product for another person, you do so at your own risk and are responsible for informing that person that fragrance products may contain allergens and may cause adverse reactions.

14.10 Machine and Product Warnings

Users are responsible for reading and following any warnings, notices, labels, instructions, or disclaimers displayed on the machine, on the Site, or otherwise provided by LA SCENTS, including notices stating that fragrances may contain allergens.

14.11 Minors

Fragrance products should be used only by persons capable of understanding and accepting the risks of fragranced products. If a minor uses a product, such use is the responsibility of the parent, guardian, or supervising adult.

15. Disclaimer of Warranties

THE SITE AND ALL CONTENT, FEATURES, PRODUCTS, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LA SCENTS DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

  • MERCHANTABILITY,
  • FITNESS FOR A PARTICULAR PURPOSE,
  • TITLE,
  • NON-INFRINGEMENT,
  • QUIET ENJOYMENT,
  • ACCURACY,
  • RELIABILITY,
  • AVAILABILITY, AND
  • FREEDOM FROM ERRORS, VIRUSES, OR HARMFUL COMPONENTS.

WE DO NOT WARRANT THAT THE SITE, PRODUCTS, OR SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LA SCENTS AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, SERVICE PROVIDERS, LICENSORS, SUPPLIERS, AND VENUE PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO:

  • YOUR USE OF OR INABILITY TO USE THE SITE;
  • ANY CONTENT ON THE SITE;
  • ANY COMMUNICATIONS OR SUBMISSIONS MADE THROUGH THE SITE;
  • ANY THIRD-PARTY TOOLS OR SERVICES;
  • ANY CAMPAIGN, AD PLACEMENT, PURCHASE, PRODUCT DISPENSING, OR BUSINESS DECISION RELATED TO THE SITE OR LA SCENTS PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE, PRODUCTS, OR SERVICES SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID US, IF ANY, FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE 3 MONTHS BEFORE THE EVENT, OR
  • ONE HUNDRED U.S. DOLLARS (US $100).

THIS SECTION APPLIES TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND DOES NOT LIMIT LIABILITY TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY LAW.

17. Indemnification

You agree to defend, indemnify, and hold harmless LA SCENTS and its owners, affiliates, officers, directors, employees, contractors, agents, licensors, service providers, suppliers, and venue partners from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to:

  • your use of the Site;
  • your violation of these Terms;
  • your Submitted Content;
  • your misuse of any product or service;
  • your violation of any law or third-party right.

18. Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to the Site, LA SCENTS products, services, or these Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

19. Dispute Resolution

To the fullest extent permitted by law, any dispute arising out of or relating to these Terms, the Site, or any product or service provided by LA SCENTS shall first be attempted to be resolved through good-faith informal discussions.

If a dispute cannot be resolved informally, we reserve the right to require that the dispute be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction and venue of those courts.

To the extent permitted by law, you agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

20. No Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of any other provision.

21. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

22. Changes to These Terms

We may revise or update these Terms at any time in our sole discretion. Any changes will become effective when posted on this page unless otherwise stated.

Your continued use of the Site after updated Terms are posted constitutes your acceptance of those changes.

23. Entire Agreement

These Terms, together with any separate written agreement, invoice, payment terms, campaign approval, or other policies expressly incorporated by reference, constitute the entire agreement between you and LA SCENTS regarding the Site and supersede all prior or contemporaneous communications relating to that subject matter.
